1. Acceptance and eligibility
1.1 Agreement
These Terms and Conditions (“Terms”) govern your participation in the AminoVita Research Partner Program (the “Program”). By submitting an application and indicating your acceptance, you (“Partner”, “you”) enter into a binding agreement with AminoVita Research LLC (“AminoVita Research”, “we”, “us”), a limited liability company organized under the laws of the State of Wyoming. If you do not agree to these Terms, do not submit an application.
1.2 Eligibility
To participate, you must satisfy each of the following at the time of application and continuously thereafter:
- You are at least 18 years of age and have the legal capacity to enter into this agreement.
- You maintain a legitimate platform, audience, or channel through which you will promote AminoVita Research.
- You are not an employee, officer, director, member, or contractor of AminoVita Research LLC.
- You are not a direct competitor of AminoVita Research and do not act on behalf of one.
- You are not located in, and will not direct promotion into, any jurisdiction in which the sale or possession of research compounds is prohibited.
1.3 Approval
Every application is reviewed manually. Approval is at our sole and absolute discretion, and we may decline any application without explanation. No commission is earned, and no credential is valid, prior to written approval. We may revoke approval at any time in accordance with §13.
2. Definitions
- “Referred Order” — a completed purchase from aminovitaresearch.com attributed to you under §5.
- “Product Subtotal” — the price of compounds purchased, excluding shipping, taxes, duties, and handling, and net of any discount applied.
- “Referred Revenue” — the aggregate Product Subtotal of your Referred Orders in a given period, excluding orders that are charged back or otherwise reversed.
- “Credential” — your unique referral link and, where issued, your customer discount code.
- “Reversal Window” — the period during which an order remains subject to reversal — chargeback dispute or damage-in-transit claim — under our published Refund Policy. AminoVita Research does not accept general returns or issue refunds; damage-in-transit is replaced with the same SKU and quantity at no additional cost within a 7-day claim window.
- “Assessment Period” — the trailing three (3) calendar months used to determine tier status under §4.
- “Content” — any material you create, publish, post, send, broadcast, or communicate that references AminoVita Research or any compound we supply, in any medium and through any channel, whether public or private and whether permanent or ephemeral. Content includes social media posts, video, audio, livestreams, websites, newsletters, forums, private communities, group chats, and direct messages.
3. Commission and tiers
3.1 Rates are public
Commission rates and tier thresholds under this Program are published and are not confidential. Nothing in these Terms restricts you from disclosing the rate you earn.
3.2 Base commission
The base commission is 10% of the Product Subtotal of each Referred Order. Commission excludes shipping, taxes, duties, and handling, and is calculated after any discount is applied. Higher rates apply by tier under §3.3.
3.3 Tiers
The Program has three tiers. Every partner begins at Affiliate on approval.

Ambassador is invite-confirmed. Reaching the Ambassador threshold makes you eligible for the tier; it does not grant it. Ambassador status is conferred by invitation at our discretion. Referred Revenue alone does not promote a partner to Ambassador.
3.4 Customer discount code
- Where issued, your code entitles the customer to the discount stated in §3.3.
- The code is single-use per customer.
- The code is non-stackable and may not be combined with any other offer, promotion, or discount.
- Use of the code automatically attributes the order to you.
- We may deactivate, reissue, or modify any code at any time on notice.
3.5 When commission is earned
- Commission is earned only on completed Referred Orders, and only after the Reversal Window has closed.
- Commission on any order that is charged back or reversed is reversed in full, including after payout, in which case the amount is deducted from your next payout or, if no further payout is due, is recoverable as a debt.
- Damage-in-transit replacement under our Refund Policy is fulfilled at our cost and does not reverse commission on the original order; the affiliate keeps commission on the initial sale.
- Commission is not earned on shipping, taxes, duties, handling, gift cards, or any non-compound item.
- No commission is earned on orders placed by you, on your behalf, or by any person or entity under your control (see §8.1).
3.6 Subscription orders
We may make subscription products available. Where a Referred Order establishes a subscription:
- You earn commission on the initial order under §§3.2–3.3.
- You earn recurring commission on each successful recurring charge for the life of the subscription, at your tier rate in effect at the time of that charge.
- Recurring commission is subject to the same Reversal Window, hold, and reversal terms as any other commission under §3.5.
- Recurring commission ceases when the subscription is cancelled, lapses, or fails payment, and is not earned on any charge that is not successfully collected.
- Referred Revenue from recurring charges counts toward tier assessment under §4.
- A subscription does not waive or continuously satisfy the research-use affirmation. We may require re-affirmation as a condition of continued fulfillment.
As of the Effective Date, AminoVita Research does not offer subscription products. This section takes effect if and when subscription products are made available, and applies only to subscriptions established on or after that date.
3.7 Rate changes
We may change commission rates, tier thresholds, or tier benefits on thirty (30) days written notice to the email address on your account. Changes are prospective only and do not affect commission already earned. Your continued participation after the effective date constitutes acceptance.
4. Tier status
4.1 Assessment basis
Tier status is assessed on your Referred Revenue averaged over the trailing three calendar months (the Assessment Period). There is no calendar-month reset. Status does not depend on performance in any single month.
4.2 Retroactive application
When you reach a tier, the new rate applies retroactively to the whole Assessment Period, not prospectively from the date of promotion. The difference between the rate previously paid and the tier rate is trued up on your next payout.
4.3 Stability
Status is not lost for a single slow month. Once earned, a tier is held for the duration of the Assessment Period and is reassessed only under §4.4.
4.4 Adjustment
If your trailing three-month Referred Revenue falls below a tier threshold for two (2) consecutive monthly assessments, your status adjusts to the tier your Referred Revenue supports. Adjustment is prospective only. Commission already earned and paid at a higher rate is not reclaimed.
4.5 Ambassador status
Ambassador status, once conferred, may be withdrawn at our discretion on notice, including where content published by the Ambassador is inconsistent with §7.
5. Attribution and tracking
- Link attribution is by cookie with a thirty (30) day window from the customer’s click.
- Code attribution occurs at checkout and is not time-limited.
- Where a customer presents both a code and a link, the code governs and the order is attributed to the code holder.
- Where two links are presented, the most recent click within the window governs.
- We are not liable for attribution failures caused by cookie blocking, browser configuration, privacy tooling, ad blockers, device switching, or a customer’s use of a competing code.
- Our records are the system of record for attribution and are determinative in any dispute.
6. Payment
- Payouts are issued monthly on the 1st of the month for commission that has cleared the hold under this section.
- A minimum balance of $50 is required. Balances below the minimum roll to the following cycle.
- A thirty (30) day hold applies to all commission — commission is not payable during the hold — to allow the Reversal Window to close (chargeback, fraud dispute, or damage-in-transit claim under our Refund Policy). AminoVita Research does not accept general returns or issue refunds; the hold exists to protect commission against processor-initiated reversals, not customer refund requests.
- You must have a valid W-9 (US partners) or W-8BEN (non-US partners) on file before your first payout.
- We issue an IRS Form 1099 to US partners earning $600 or more in a calendar year.
- You are solely responsible for all taxes on commission earned.
- Payments are made by the methods we make available from time to time. You are responsible for the accuracy of your payment details; we are not liable for payments misdirected due to information you provided.
- Unclaimed balances are handled in accordance with applicable unclaimed property law.
7. The nature of what you promote
7.1 Acknowledgment
You acknowledge and agree that AminoVita Research supplies compounds strictly for in-vitro laboratory research. They are not for human or veterinary use, not for consumption, and are not drugs, foods, cosmetics, or dietary supplements. They have not been evaluated by the U.S. Food and Drug Administration for safety or efficacy in humans, and no representation to the contrary may be made by you in any medium.
7.2 Your audience
Your Content is directed to qualified researchers, laboratory and institutional purchasers, and others with a legitimate in-vitro research purpose. You may not direct Content to, or optimize Content for, general consumer, fitness, physique, bodybuilding, weight-loss, longevity, biohacking, or personal-health audiences.
Nothing in your Content may state, imply, suggest, or invite the inference that any AminoVita Research compound is intended for, suitable for, or used by a human being.
7.3 Standard of interpretation
The prohibitions in §8 are not exhaustive. The governing standard is the impression created for an ordinary member of your audience, taken as a whole, including images, captions, tags, adjacent content, and context. Content that satisfies the letter of §8 while creating an impression of human use is a violation of these Terms.
8. Prohibited conduct
This section applies to all Content as defined in §2, including private, direct, and ephemeral communication. A statement made in a direct message, group chat, or private community is Content and is governed by these Terms.
8.1 Attribution and traffic
- Self-referral — purchasing through your own Credential, or through any account, person, or entity under your control.
- Distributing, submitting, or listing your code on any coupon, deal, cashback, or aggregator site.
- Bidding on “AminoVita”, “AminoVita Research”, any product name, or any variation, misspelling, or confusingly similar term as a paid search keyword.
- Any paid advertising of AminoVita Research without our prior written approval.
- Cookie stuffing, forced clicks, iframe injection, typosquatting, or any means of attribution other than a genuine click or a code used by a genuine customer.
- Spam, unsolicited messaging, purchased email lists, or bulk distribution of your Credential.
- Sharing, selling, sublicensing, or transferring your Credential to any third party.
8.2 Content — human use
- Stating or implying that any compound is for human consumption, injection, ingestion, inhalation, topical application, or any therapeutic use.
- Any dosage, dosing schedule, protocol, stack, cycle, route of administration, reconstitution-for-use instruction, or comparable “how to use” content.
- Describing your own or any other person’s use of, or experience with, any research compound — including results, outcomes, physiological observations, or before-and-after imagery.
- Any testimonial or review of a research compound.
- Any health claim, therapeutic claim, structure/function claim, disease claim, or claim of efficacy in humans.
- Presenting a research compound alongside human-use products, fitness, physique, weight-loss, or personal health content in any manner implying human application.
- Stating or implying that any licensed practitioner recommends, supervises, administers, or endorses human use.
- Any content directed to, or reasonably likely to reach, individuals under 18 years of age.
8.3 Conduct
- Fabricated, exaggerated, or misleading claims of any kind.
- Misrepresenting your relationship with us. You are an independent partner, not an employee, agent, distributor, or representative, and may not hold yourself out as any of those.
- Making any representation, warranty, or commitment on our behalf.
- Any conduct materially detrimental to the reputation of AminoVita Research.
9. Disclosure, review, and correction
9.1 Required disclosure
You must clearly and conspicuously disclose your material connection to AminoVita Research in every piece of promotional content, in compliance with the U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising.
- The disclosure must be visible without clicking, expanding, hovering, or scrolling past the promotional claim.
- Acceptable forms include “#ad”, “#sponsored”, “paid partnership”, or “AminoVita Research partner”.
- Placement in a bio, a comment, a link-in-bio page, or below a fold is not sufficient.
- In video, the disclosure must be both spoken and displayed.
- Compliance with FTC guidance is your responsibility. Our review or approval of Content, if given, does not transfer that responsibility to us.
9.2 Right of review
We reserve the right, but assume no obligation, to review your Content at any time. You agree that:
- You will identify, at application and on request, every channel through which you promote AminoVita Research.
- You will notify us within five (5) business days of adding a new channel.
- We may review your Content at any time, without notice, including by automated means.
- We may require you to submit Content for review prior to publication.
- You will provide access to, or copies of, Content in private or closed channels on request.
9.3 Correction and removal
Where we determine that Content does not comply with these Terms:
- We may require you to correct or remove it, and you must comply within forty-eight (48) hours of notice.
- Failure to comply within that period is a violation of §8 and grounds for immediate termination.
- We may suspend your Credential and withhold payouts pending correction.
- This right applies to Content published at any time during your participation and survives termination.
- Our decision as to whether Content complies with these Terms is final.
9.4 Records
We retain your application, your acceptance of these Terms, the version you accepted, and records of any Content reviewed and action taken, for a period of not less than seven (7) years.
10. Brand and intellectual property
We grant you a limited, non-exclusive, non-transferable, revocable license to use the AminoVita Research name, logo, and approved brand assets solely to promote AminoVita Research in accordance with these Terms. This license does not permit you to:
- Modify, alter, recolor, or create derivative works from our brand assets.
- Use our brand in a manner implying endorsement of any non-AminoVita product or service.
- Register or use any domain name, social media handle, application, or business name incorporating “AminoVita” or any confusingly similar term.
- Bid on, or register, our marks as keywords or trademarks in any jurisdiction.
- Continue any use of our brand assets after termination.
Brand asset kit. Where provided, the brand asset kit consists of logos, product photography, certificate-of-analysis links, and approved factual product descriptions. We do not supply suggested copy, captions, scripts, or talking points, and nothing we supply may be presented as our characterization of any compound’s effects. You are responsible for all copy you write, whether or not it accompanies an asset we provided.
You grant us a non-exclusive, royalty-free, worldwide license to reproduce and display your Content for the purpose of monitoring compliance with these Terms and, with your consent, for our own marketing.
11. Confidentiality
Commission rates and tier thresholds are published and are not confidential (§3.1). The following are confidential and may not be disclosed: individually negotiated terms; unreleased product, formulation, or supplier information; non-public roadmap, pricing, or performance data; and any information designated confidential when disclosed to you. This obligation survives termination.
12. Liability and indemnification
12.1 No liability for partner conduct
AminoVita Research is not liable for any claim, representation, statement, or act made by a partner. Partners bear sole and exclusive responsibility for all content they produce and publish. We expressly disclaim any liability arising from partner conduct, including regulatory enforcement action, consumer complaint, or third-party claim resulting from partner marketing materials.
12.2 Indemnity
You agree to indemnify, defend, and hold harmless AminoVita Research LLC and its officers, directors, members, employees, and licensors from and against any claim, liability, damage, loss, and expense — including reasonable legal fees — arising out of or related to your participation in the Program, your promotional content, your breach of these Terms, or your violation of any law or third-party right. This obligation survives termination.
12.3 Limitation of liability
To the maximum extent permitted by law, our aggregate liability to you under these Terms shall not exceed the total commission paid to you in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost opportunity, arising from the Program.
12.4 No warranty
The Program, the tracking systems, and the partner portal are provided “as is”. We do not warrant uninterrupted availability, accuracy of reporting, or any level of earnings. Nothing in these Terms guarantees any volume of traffic, conversion, or income.
13. Term and termination
- These Terms take effect on the date your application is approved and continue until terminated.
- You may terminate at any time by written notice to info@aminovitaresearch.com.
- We may terminate immediately and without notice for any violation of §8, for fraud, or for conduct materially detrimental to the brand.
- We may terminate without cause, or discontinue or modify the Program, on thirty (30) days written notice.
- On termination your Credential is deactivated. Commission on completed, non-reversed Referred Orders that have cleared the Reversal Window is paid at the next payout cycle, subject to the $50 minimum.
- On termination for violation of §8, all unpaid commission is forfeited, whether or not earned.
- Recurring commission under §3.6 ceases on termination.
- On termination for violation of §8, you must remove all Content referencing AminoVita Research within five (5) business days.
- On any other termination, you must remove or update any Content containing a Credential, and must cease all use of our brand assets, within five (5) business days.
- Our right to require correction or removal of Content under §9.3 survives termination.
- Sections 7, 8, 9.3, 9.4, 10, 11, 12, 14, and 15 survive termination.
14. Relationship of the parties
You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to bind us. You are solely responsible for your own expenses, equipment, personnel, and taxes.
15. General
15.1 Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in the State of Wyoming under the rules of the American Arbitration Association. You waive any right to participate in a class, collective, or representative proceeding against AminoVita Research LLC.
15.2 Modification
We may modify these Terms at any time. Material changes are communicated by email to the address on your account with thirty (30) days notice. Your continued participation after the effective date constitutes acceptance. The version in effect at the time of your acceptance governs that acceptance. Prior versions are archived and available on request.
15.3 Entire agreement
These Terms, together with the published tier terms and the Research-Use Acknowledgment, constitute the entire agreement between you and AminoVita Research regarding the Program, and supersede all prior discussions, understandings, and agreements relating to it. No verbal representation modifies these Terms.
15.4 Severability
If any provision is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions remain in full force and effect.
15.5 Assignment
You may not assign or transfer these Terms or any right under them. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
15.6 Waiver
Our failure to enforce any provision is not a waiver of our right to enforce it later. No waiver is effective unless in writing.
15.7 Force majeure
We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including carrier disruption, supplier failure, payment processor action, natural disaster, or governmental action.
15.8 Notices
Notices to you are given by email to the address on your account and are effective on sending. Notices to us must be sent to info@aminovitaresearch.com.
