Terms of Sale.

These Terms of Sale (the “Terms”) govern the sale of research-grade compounds (the “Products”) by AminoVita Research LLC (“AminoVita Research,” “we,” “us”) through this website. By purchasing, you agree to these Terms in full.

1. Research Use Only

The Products are sold exclusively for in-vitro laboratory research. They are not pharmaceuticals, dietary supplements, cosmetics, food products, medical devices, or therapeutic agents. The Products have not been evaluated by the FDA or any equivalent regulatory body for human or veterinary use, and are not intended to diagnose, treat, cure, or prevent any disease.

You represent and warrant that you are a qualified researcher acquiring the Products for legitimate in-vitro research use only, and that you will not administer the Products to any human or animal subject.

Affirmation

Each purchase requires a research-use affirmation at checkout. Your affirmation is recorded with a timestamp and attached to your order. Misrepresentation of research-use intent is grounds for order cancellation and may be reported to relevant authorities.

2. No Resale or Transfer

Products are sold solely to the purchaser for the purchaser’s own qualified in-vitro research. You may not resell, transfer, distribute, gift, or otherwise supply the Products to any third party, and you may not repackage or relabel the Products. Any resale or transfer voids all warranties and constitutes a breach of these Terms.

3. Eligibility

You must be at least 21 years of age and acting in a research capacity. By placing an order you confirm both. AminoVita Research reserves the right to refuse or cancel any order at our sole discretion, including where research-use intent appears doubtful.

4. Separate Entity

AminoVita Research LLC is a separate legal entity from AminoVita Wellness LLC. The two companies share a parent brand identity but operate under distinct tax identification numbers and maintain independent product lines, financial accounts, and customer obligations. Orders placed with AminoVita Research are contracts with AminoVita Research only.

5. Pricing & Payment

Prices are displayed in USD and may change without notice. Payment is processed at the time of checkout. By submitting an order you authorize us to charge the payment method you provide.

6. Shipping & Risk of Loss

Shipping details are described on our Shipping page. Title and risk of loss pass to you upon our delivery of the Products to the carrier.

7. Shipping Restrictions & Buyer Responsibility

We ship only within the United States. We do not ship internationally, and the Products may not be exported. Certain compounds may be restricted or prohibited in specific states or localities; it is your sole responsibility to confirm that purchase, possession, and use of any Product is lawful in your jurisdiction before ordering. We reserve the right to cancel and refund any order we believe cannot be lawfully fulfilled.

8. No Returns, No Refunds — Replacement Only for Damage in Transit

Because the Products are research chemicals, all sales are final. We do not accept returns and we do not issue refunds under any circumstance.

The single exception is damage in transit. If a Product arrives visibly damaged (broken vial, leaked contents, compromised packaging), we will ship a replacement at no additional cost. To qualify, you must:

Replacements are limited to the same Product and quantity originally ordered. No cash refunds, store credits, or partial refunds are available.

9. Payment Disputes & Chargebacks

By completing a purchase, you represent that your research-use affirmation is truthful. Initiating a payment dispute or chargeback on the basis of circumstances you misrepresented at the time of purchase — including your qualification or intended use — constitutes a fraudulent dispute. We retain affirmation records, order records, and delivery confirmation, and will submit them as evidence in any dispute. We reserve the right to refuse future service to any purchaser who initiates an unwarranted chargeback.

10. No Warranties Beyond COA

Each batch of every Product is documented by a batch-specific Certificate of Analysis (COA) published on our website — on each product page and in the COAs. We do not ship or email physical or digital copies of the COA; the published version on the website is the authoritative reference. The COA is the entire warranty. Beyond the values stated on the COA, the Products are provided “AS IS” without warranty of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, AminoVita Research’s aggregate liability arising out of any Product or order is limited to the amount paid for the Product at issue. We are not liable for indirect, consequential, or incidental damages, including loss of research data, downtime, or third-party claims arising from misuse.

12. Indemnification

You agree to indemnify and hold harmless AminoVita Research, its members, officers, employees, and affiliates from any claim arising out of (a) your use, misuse, or distribution of the Products, (b) your breach of these Terms, or (c) any administration of the Products to any human or animal subject.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, where AminoVita Research LLC is organized, without regard to conflict-of-law principles. Disputes shall be resolved exclusively in the state and federal courts located in Wyoming.

14. Changes

We may revise these Terms at any time. The version applicable to your purchase is the version in effect at the time you affirm research-use intent during checkout. You may always view the current version on this page.

15. User Content

If you submit reviews, comments, or other content to our site, you grant AminoVita Research LLC a non-exclusive, royalty-free, perpetual license to use, display, and reproduce that content in connection with our services. You represent that your submissions are your own, are accurate, and do not infringe any third party’s rights. We may remove any user content at our discretion. We do not offer incentives in exchange for reviews, and we do not suppress reviews based on their rating.

16. Copyright Complaints (DMCA)

We respect intellectual property rights. If you believe content on our site infringes your copyright, send a notice compliant with 17 U.S.C. § 512(c)(3) to our designated agent registered with the U.S. Copyright Office under our parent entity, AminoVita Holdings LLC:

We will respond to valid notices, including removing or disabling access to the identified material where appropriate. We may terminate access for repeat infringers.

17. General Provisions

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed and the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms, together with the Research-Use Acknowledgment, Privacy Policy, and Shipping & Refund Policy, constitute the entire agreement between you and AminoVita Research LLC regarding your purchase and supersede any prior understandings.

Force Majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including carrier disruption, supplier failure, natural disaster, or governmental action.

Assignment. You may not assign or transfer your rights under these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
